Terms of Service

1. Agreement to Terms
By accessing or using UpHelp's marketplace platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please discontinue use of the platform immediately.
2. Description of Service
UpHelp operates a two-sided marketplace connecting consumers ("Homeowners") with service providers ("Helpers"). We facilitate job posting, matching, payment processing, and communications between parties.
3. User Accounts and Registration
- You must be 18 years or older to use our services
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account
- You must not share your account credentials with others
4. Acceptable Use
You agree not to:
- Post false, misleading, or fraudulent job listings
- Engage in any illegal activity through the platform
- Harass, abuse, or harm other users
- Interfere with or disrupt the platform's operation
- Attempt to circumvent payment systems or fees
- Use automated systems to scrape or crawl our platform
5. Payments and Fees
5.1 Payment Processing
All payments are processed through Stripe, our third-party payment processor. UpHelp is not a payment processor and does not handle payment card data directly.
5.2 Platform Fees
UpHelp charges a 5% platform fee on completed transactions. This fee is deducted from the total payment before transferring to helpers.
5.3 Payment Authorization
By posting a job, you authorize UpHelp to charge your payment method when a helper accepts your job.
6. Job Postings and Acceptance
- Homeowners may post jobs describing the work needed
- Helpers receive job offers and may accept or decline
- First helper to accept receives the job assignment
- Helpers must complete work as described
7. Disputes
In case of disputes between parties:
- Contact UpHelp support within 24 hours of job completion
- Provide evidence and documentation of the dispute
- UpHelp will investigate and attempt to mediate
- UpHelp reserves the right to make final decisions on disputes
8. Background Checks and Verification
Helpers may be subject to background checks and identity verification. UpHelp does not guarantee the accuracy of background check information and is not liable for services provided by helpers.
9. Intellectual Property
All content on the UpHelp platform, including logos, text, graphics, and software, is the property of UpHelp or its licensors and is protected by copyright and trademark laws.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPHELP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
11. Indemnification
You agree to indemnify and hold harmless UpHelp, its officers, directors, employees, and agents from any claims arising from your use of the platform or violation of these Terms.
12. Termination
We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any reason we deem appropriate. You may terminate your account at any time through account settings.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance.
